CONSTITUTION
Article I
Name
The name of this organization shall be the Strong’s Neck Civic Association.
Article II
Purpose
The purpose of the Association shall be to promote the general welfare of Strong’s Neck, Setauket, New York.
Article III
Membership
Membership in this Association shall be limited to residents or property owners of Strong’s Neck, who are of voting age.
Article IV
Officers
The elective officers of the Association shall be President, Vice-President, Secretary, Assistant Secretary and Treasurer. There shall be a Board of Directors consisting of these officers and six elective members, which shall have charge of the government of the Association and the management of it’s property.
Article V
Nominations and Elections
The officers shall be elected for a term of one year, such year to run from annual meeting to annual meeting. The directors shall be elected for a term of three years, each year to be from annual meeting to annual meeting.
A nominating committee shall be appointed by the President.
Article VI
Meetings
The Association shall hold an annual meeting for the election of it’s officers and directors, and for such other business as may be deemed pertinent.
Special meetings may be called by the Board of Directors or upon a request from ten members, by the President.
A notice of all regular and special meetings shall be made public.
Article VII
Amendments
This Constitution and the By-Laws may be amended by submitting the proposed amendment in writing to the Board of Directors, and reading same to the members of the Association at any regular or special meeting. Two-thirds vote of the members present shall be necessary for adoption. Meeting notices must include the proposed amendment to be voted upon. Voting on such amendment shall be at the time of the meeting.
Chapter I
Duties of Officers
Section 1. Officers shall each perform the duties of their respective offices in accordance with the common practice of officers of Associations of this character.
Section 2. The Board of Directors shall take charge of the functioning of the Association between meetings.
Section 3. The Board of Directors shall fill any vacancy in any office by appointment for the unexpired term.
Chapter II
Committees
The Board of Directors may appoint Special Committees as may be deemed necessary.
Chapter III
Applications for Membership
Applications for membership in the Association shall be submitted to the Board of Directors.
Chapter IV
Dues
Annual dues shall be (two dollars per member; five dollars per family), payable on application for membership, and at each annual meeting, and shall be for the period of June 1 through May 31 of the following year.
Chapter V
Active Members
A member is active and entitled to vote at the annual or special meeting if he or she has paid dues for the current year.
Chapter VI
Meetings
Section 1. The annual meeting of the Association shall be held during the month of May. The President shall set the date and place of this meeting.
Section 2. Meetings of the Board of Directors shall be held once a month. The President shall call these meetings.
Section 3. Any member may attend the meetings of the Board of Directors.
Section 4. The order of business at the meetings of the Association shall be as follows:
The officers shall be elected at the May Bi-Annual Meeting for a term of one year.
(Policy of having representation of Beach Associations – Bayberry Cove, Bayview, Four Winds, Grantland, Indian Field, Minasseroke, Little Bay, Johns Road – has been established through the nomination process).
The Association shall hold Bi-Annual Meetings – May and October.
Annual dues shall be $10.00 per household payable on application
for membership and at each annual meeting – period from May to May.
